Primary Responsibility

Responsible for reviewing and interpreting contracts, non-disclosure agreements (NDAs), certificates of insurance (COIs), statements of work (SOWs), and Service Organization Control (SOC) (SSAE16) reports to ensure compliance with all regulatory requirements as well as organizational protocols.

Essential Job Functions



  • Responsible for the management of the contractual relationship with service providers. Coordinates contract activities, including contract development and transition.
  • Reviews analyses, and interprets contracts and other related documents. Suggests contract terms and language that supports organizational objectives, and seeks direction and input from Vendor Management Administrator as necessary during contract preparation and finalization.
  • Analyzes contract issues and recommends appropriate course of action. Recommends vendor penalties and incentives, if performance does not meet or exceed established criteria.
  • Coordinates with multiple cross-departmental functions regarding contract terms and assists in obtaining all appropriate and necessary internal approvals for contract terms and provisions.
  • Provides support in the negotiation of contracts and in the resolution of contract language disputes.
  • Tracks the progress of contract preparation, negotiation, and finalization to ensure contracts are completed in a timely fashion
  • Ensures that all contracts comply with federal and state regulations and overarching credit union policy.
  • Significant analytical skills, strong organizational ability, keen attention to detail and the ability to effectively manage multiple priorities.
  • Identifies opportunities for process improvements.
  • All teammembers must comply with regulatory compliance and assigned training requirements including but not limited to BSA regulations corresponding to their specific job duties.
  • Performs other related duties as assigned or requested.


    Education

    Bachelor's degree in Business Administration, Finance, Political Science or closely related field

    Years of Experience

    Must have at least 1-3 years of contract management experience

    Paralegal experience working on contracts in a corporate environment, law firm, or in-house legal department is highly desirable

    The Contract Analyst position works closely with the department Manager and business unit owners throughout the Credit Union in the review, tracking, execution and monitoring of vendor contracts. The contract review includes reading, interpreting and redlining contracts, non-disclosure agreements (NDAs), statements of work (SOWs).

    Essential Job Functions:



    • Reviews analyses, and interprets contracts and other related documents. Suggests contract terms and language that supports organizational objectives, and seeks direction and input from Manager as necessary during contract preparation and finalization.
    • Analyzes contract issues and recommends appropriate course of action. Recommends vendor penalties and incentives, if performance does not meet or exceed established criteria.
    • May work with outside legal counsel to develop and insert appropriate legal protections in complex contracts, as warranted.
    • Develop a knowledge base of contract negotiating strategies and best practices. Identify and recommend improvements to processes, procedures, workflow and organizational structures for contract management.
    • Facilitates communication with multiple cross-departmental functions regarding contract terms and assists in obtaining all appropriate and necessary internal approvals for contract terms and provisions.
    • Provides support in the negotiation of contracts and in the resolution of contract language disputes.
    • Tracks the progress of contract preparation, negotiation, and finalization to ensure contracts are completed in a timely fashion.
    • Ensures that all contracts comply with federal and state regulations and overarching credit union policy.
    • Significant analytical skills, strong organizational ability, keen attention to detail and the ability to effectively manage multiple priorities are required to be successful in this fast-paced environment.
    • All teammembers must comply with regulatory compliance and assigned training requirements including but not limited to BSA regulations corresponding to their specific job duties. Failure to do so may result in disciplinary and other employment related actions.

      Knowledge, Education, and Experience

      Education/Experience



      • Bachelor's degree in Business Administration, Finance, Political Science or closely related field required. JD perferred.
      • Must have at least 1-3 years of contract management experience
      • Must have a minimum of 3 year's contract reviewing experience.


        License, Registration, and/or Certification Requirement

        None. Law degree (JD) strongly desired.

        • Experience with Uniformed Commercial Code (UCC) rules and regulations and Contract Law as it relates to the procurement of goods and services
        • Stays current on the latest technologies
        • Experience with enterprise resource planning software and electronic procurement automation software
        • Advance working knowledge of Microsoft Office Suite, including Excel and Word.
        • Excellent written and verbal communication skills
        • Extremely detail-oriented and well-organized
